By agreeing to these terms, you ("Vendor") enter into a binding agreement with Edo Talk Show ("We", "Our", or "Us") regarding your participation in our platform. Please read these terms carefully before proceeding.

1. Data Retention and Usage

• I agree that Edo Talk Show should retain my personal details as long as my content remains on their social media platforms.
• I consent that Edo Talk Show may share my information with law enforcement agencies if I fail to fulfill paid job obligations from Edo Talk Show clients, which may result in legal action under Nigerian law.

2. Platform Participation

• I agree that Edo Talk Show can publicly announce if I am no longer an active participant on their platform.
• I will inform Edo Talk Show about any jobs obtained through their platform that I am currently executing.

3. Information Updates and Verification

• I agree to provide additional information if required by Edo Talk Show for service improvements.
• I consent to occasional visits by Edo Talk Show representatives to verify my provided address details.
• I will promptly notify Edo Talk Show of any address changes to maintain accurate records.

4. Contract Terms and Termination

• This agreement has an initial term of 6 months, renewable upon mutual consent and compliance with all terms.
• Edo Talk Show reserves the right to terminate my contract and remove my content for misconduct to protect other platform users.
• While Edo Talk Show primarily facilitates work within Edo State, I understand I may work elsewhere at my own discretion.

5. Job Allocation and Performance

• I will not redirect Edo Talk Show-sourced jobs to third parties outside the platform.
• I will prioritize sourcing materials from other Edo Talk Show vendors when possible to support the platform ecosystem.
• I will only accept jobs I can reasonably complete, avoiding excessive commitments that may lead to delays.
• Prompt communication with clients about delays or changes is mandatory.
• I must maintain availability for client communications (calls and messages).

6. Quality and Professional Standards

• Supplying defective materials or delivering substandard work will result in dismissal after investigation.
• Accurate measurements must be provided without inflation for personal gain.
• Negative comments about other platform vendors' work or products are prohibited.
• Personal involvement in assigned jobs is required; delegation to non-platform workers is not permitted.

7. Complaints and Disciplinary Actions

• Multiple unresolved minor complaints may lead to dismissal or fines.
• Excessive serious complaints will result in termination after investigation.
• Fine structure for violations:
  • First offense: ₦50,000
  • Second offense: ₦100,000
  • Third offense: ₦150,000

8. Financial Obligations

• Contract payment details:
  • Bank: Fidelity Bank
  • Account Number: 5620174118
  • Account Name: Edo Talk Show
  • Amount: ₦20,000 (separate from advertising fees)
• Monthly payments must be completed within the current month without carryover.
• Late payments incur ₦20,000 daily fines for up to 7 days, after which platform access is permanently revoked.
• Pay-per-job vendors must diligently track all assignments.

9. Exclusivity and Content

• Concurrent advertising of the same business on other platforms while using Edo Talk Show is prohibited and will result in immediate removal.
• Monthly content uploads (minimum one video) are required to maintain platform presence.

10. Liability

• Edo Talk Show is not liable for damages arising from my failure to properly execute jobs obtained through the platform.
• Jobs not monitored by Edo Talk Show staff may not qualify for platform protection in dispute cases.

11. Contract Renewal

• Renewal notifications will be provided 30 days before contract expiration.
• Automatic renewal applies unless termination notice is given.
• Payment consistency and performance metrics affect renewal decisions.

By proceeding with registration, I acknowledge that I have read, understood, and agreed to all terms outlined in this Vendor Agreement. I understand that violation of these terms may result in termination of my participation in the Edo Talk Show platform and potential legal consequences.
